1. Purpose

These General Terms and Conditions of Use and Sale and this Refund Policy govern access to, registration for, trial use of, subscription to and use of the Pay4All service, available at https://pay4all.ch.

Pay4All is operated by Netoura Sàrl, whose registered office is located at Chemin de la Pommière 1a, 2065 Savagnier, Switzerland.

These Terms apply to all accounts, trial periods, subscriptions, licences, plugins, services and features offered by Pay4All.

By creating an account, activating a trial period or purchasing a paid subscription, the Customer acknowledges that they have read and accepted these Terms without reservation.

2. Definitions

For the purposes of these Terms:

  • “Pay4All” means the service, website, WordPress plugins, interfaces, APIs and features operated by Netoura Sàrl;
  • “Customer” means any company, self-employed person, association, organisation or other person acting exclusively in connection with their commercial, professional, trade or institutional activities and creating an account, activating a trial period or purchasing a Pay4All subscription;
  • “Subscription” means the right to access a Pay4All product, service or certain Pay4All features for a specified period;
  • “Licence” means the technical authorisation allowing a Pay4All product to be linked to a specified domain and enabling access to features associated with an active Subscription;
  • “Primary Domain” means the domain name to which a Pay4All Licence or Subscription is linked;
  • “Trial Period” means the free period during which the Customer may test a Pay4All product before purchasing a paid Subscription.

3. Description of the Pay4All Service

Pay4All provides plugins and services intended for WordPress websites, including solutions relating to payments, TWINT, Stripe, WooCommerce, forms, orders, verification and other features presented on the Pay4All website.

The available features depend on the product, selected plan, plugin version, active Subscription and any third-party services used by the Customer.

Certain products or features may require an active Subscription, a TWINT merchant account, a Stripe account, WooCommerce or other external services.

Pay4All does not directly provide the banking or payment services offered by Stripe, TWINT, banks or the Customer’s financial institutions.

Descriptions, illustrations, screenshots and presentations displayed on the website are provided for information purposes. The essential characteristics of the product are those stated at the time of purchase.

4. Account Creation and Management

Use of the service requires the creation of a Customer account.

The Customer agrees to provide accurate, complete and up-to-date information and must update such information whenever it changes.

The Customer is responsible for maintaining the confidentiality of their login credentials and for all activities carried out through their account.

The Customer must not disclose their login credentials to an unauthorised person or allow an independent third party to use their account.

The Customer must notify Pay4All as soon as possible in the event of lost credentials, unauthorised access or suspected compromise of their account.

Pay4All may request confirmation of certain information or of the Customer’s identity where verification is required for security, billing, fraud-prevention purposes or to ensure compliance with these Terms.

5. Domain Activation and Use

Each Pay4All Subscription is linked to a specified product and Primary Domain.

Technical variants such as www.domain.ch, shop.domain.ch or staging.domain.ch may be linked to the Primary Domain domain.ch, subject to the technical rules applicable to the relevant product.

The same Customer may manage several domains and Subscriptions from their personal account. A separate Subscription may be required for each product or Primary Domain.

The Customer may not share, assign, lease, resell or otherwise make an activation key or account available to an independent third party without Pay4All’s written authorisation.

Pay4All may refuse or suspend an activation in the event of fraudulent, abusive, automated or otherwise unauthorised use.

A domain change may require the previous domain to be deactivated first. Pay4All may limit the number or frequency of domain changes in order to prevent abuse.

6. Technical Requirements

Before purchasing a Subscription, the Customer must verify that their technical environment meets the requirements stated for the relevant product.

These requirements may include:

  • the WordPress version;
  • the WooCommerce version, where WooCommerce is required;
  • the PHP version;
  • an SSL certificate and the use of HTTPS;
  • server and hosting settings;
  • required third-party extensions or services;
  • the Stripe or TWINT accounts required for the product to operate;
  • the access rights or permissions required to install the plugin.

The free Trial Period allows the Customer, among other things, to test the compatibility of the service with their website and technical environment before purchasing a paid Subscription.

Pay4All does not guarantee compatibility with every theme, extension, hosting provider, customised configuration or modification of WordPress.

7. Free Trial Period

Pay4All offers a free 30-day Trial Period for eligible products, subject to the conditions displayed at the time of registration.

During this period, the Customer may test the relevant product without paying the Subscription fee.

The Trial Period does not automatically convert into a paid Subscription.

No paid Subscription is created and no amount is automatically charged at the end of the 30-day Trial Period.

When the Trial Period expires, access to features requiring a Subscription may be suspended or restricted.

To continue using the service, the Customer must voluntarily select a paid plan, provide or confirm a payment method and expressly confirm the order.

The Customer does not need to cancel the Trial Period to avoid being charged, as no automatic payment is made when the Trial Period expires.

Unless otherwise stated, only one Trial Period may be granted per Customer, company, organisation, domain and product.

Pay4All may refuse or terminate a Trial Period in the event of multiple registrations, fraud, abuse or an attempt to circumvent service limitations.

8. Purchase of a Paid Subscription

The paid Subscription is separate from the free Trial Period.

At the end of the Trial Period, the Customer must voluntarily complete the steps required to select and purchase a paid Subscription.

No payment is processed and no paid Subscription is activated without a voluntary action and express confirmation by the Customer.

Before confirming the order, the Customer is informed of:

  • the selected product and plan;
  • the domain to which the Subscription will be linked;
  • the price and any applicable taxes;
  • the billing period;
  • whether the Subscription renews automatically, where applicable;
  • the cancellation procedure;
  • the main features and technical requirements.

The Customer must verify the accuracy of the order and their information before final confirmation.

The paid contract is concluded when the Customer confirms the order and receives confirmation from Pay4All or its payment service provider.

The Subscription and paid features are activated after payment has been confirmed, subject to any necessary technical or security checks.

9. Pricing and Payment

The applicable prices are those displayed on the Pay4All website at the time of purchase.

Subscriptions may be offered with monthly or annual billing, depending on the product and available plans.

Prices, any applicable taxes and the billing frequency are displayed before the order is confirmed.

Payments are processed by Stripe. Available payment methods may include payment cards and TWINT, depending on the options available at the time of payment.

The Customer authorises Stripe and Pay4All to process the payment corresponding to the confirmed order and any subsequent Subscription renewals where automatic renewal applies.

The selected monthly or annual billing period is invoiced in advance.

Invoices or payment receipts may be made available through the Customer account, sent by email or provided through Stripe’s tools.

The Customer is responsible for ensuring that their billing details are accurate and that the registered payment method remains valid.

10. Automatic Renewal of the Paid Subscription

Once manually purchased by the Customer, the paid Subscription automatically renews at the end of each monthly or annual billing period, unless otherwise stated at the time of purchase.

Automatic renewal does not apply to the transition from the free Trial Period to the paid Subscription.

The price, billing frequency and automatic renewal of the Subscription are displayed before the paid order is confirmed.

Unless the Subscription is cancelled before the next renewal date, the amount corresponding to the new Subscription period will be automatically charged to the registered payment method.

If the price changes, Pay4All will inform the Customer before the new price takes effect. The Customer may cancel the Subscription before the relevant renewal if they do not wish to accept the new price.

11. Cancellation

The Customer may cancel a paid Subscription at any time through their Pay4All account or through the “Pay4All Pro” menu on their WordPress website.

Cancellation prevents the next automatic renewal, provided that it is registered before the renewal date.

Following cancellation, the service remains accessible until the end of the paid period, unless the account is deleted or suspended due to fraud, a breach of these Terms or abusive use.

Uninstalling the plugin, deleting the WordPress website, abandoning the domain, changing hosting providers or ceasing to use the service does not constitute cancellation of the Subscription.

The Customer must use the cancellation procedure available in their personal account or contact Pay4All if a technical issue prevents them from cancelling.

Cancellation does not release the Customer from any amounts already due or payable.

12. Service Reserved for Professional Customers and No Right of Withdrawal

12.1 Exclusively Professional Use

Pay4All is exclusively intended for companies, self-employed persons, associations, organisations and other persons acting in connection with their commercial, professional, trade or institutional activities.

Pay4All is not intended for private or personal use.

By creating an account, activating a Trial Period or purchasing a Subscription, the Customer confirms that they are acting exclusively in connection with their professional activities and that they have the necessary authority to bind the company or organisation they represent.

Pay4All may request information confirming the professional nature of the Customer’s use, including their company name, professional address, website or business identification number, where available.

Pay4All reserves the right to refuse or close an account where it appears that the service is being used primarily for private or personal purposes.

12.2 No Right of Withdrawal

Contracts concluded with Pay4All are business-to-business contracts governed by Swiss law.

Swiss law does not provide a general right of withdrawal for contracts concluded online. The Customer therefore has no cancellation period allowing them to cancel a Subscription solely because they have changed their mind, subject to any mandatory statutory provisions.

The Customer is given a free 30-day Trial Period before purchasing a paid Subscription. At the end of this period, no Subscription is activated and no payment is made automatically.

The Customer voluntarily purchases the paid Subscription after having had the opportunity to test the service, its features and its compatibility with their technical environment.

13. Refund Policy

13.1 Free Trial Before Payment

The Customer is given a free 30-day Trial Period during which they may assess the service, its features and its compatibility with their environment before purchasing a paid Subscription.

No amount is automatically charged at the end of this period.

The Customer is free to decide whether to purchase a paid Subscription after testing the service.

13.2 No Refunds

Subject to any applicable mandatory statutory provisions, amounts charged following the voluntary purchase of a paid Subscription are final and non-refundable.

No full or partial refund will be granted, in particular, in the event of:

  • a change of mind after purchase;
  • non-use or partial use of the service;
  • failure to cancel before a Subscription renewal;
  • cancellation during a monthly or annual period that has already been invoiced;
  • uninstallation of the plugin;
  • deletion, closure or replacement of the Customer’s website;
  • a change of domain, hosting provider or service provider;
  • incompatibility caused by WordPress, WooCommerce, the hosting environment, server, theme, third-party extension or external service, where the product requirements were provided and the Customer was able to test the service free of charge;
  • suspension due to non-payment, fraud, abusive use or a breach of these Terms;
  • a change made by the Customer or a third party to the plugin, WordPress, WooCommerce or the website’s technical environment;
  • interruption, suspension or modification of a third-party service, including Stripe, TWINT, a bank or a hosting provider.

Cancellation of an annual Subscription does not entitle the Customer to a refund for the remaining months before its expiry date.

The existence of a technical refund function within Stripe or another payment service does not create an automatic entitlement to a refund.

14. Failed Payments

If a payment fails or the registered payment method is invalid, Pay4All or Stripe may make one or more further attempts to collect the payment.

Pay4All may also send one or more reminders asking the Customer to update their payment method or settle the outstanding amount.

If payment is not settled within the stated period, the Subscription may be suspended or terminated.

The Customer remains liable for amounts validly invoiced before the suspension or termination.

Reactivation of a suspended Subscription may be subject to full payment of outstanding amounts and the updating of the payment method.

15. Suspension of the Service

Pay4All may temporarily or permanently suspend an account, Licence or Subscription, in particular in the event of:

  • non-payment;
  • fraudulent or abusive use;
  • unauthorised sharing or resale of an account or activation key;
  • an attempt to circumvent the activation system;
  • a threat to the security or operation of the service;
  • use that breaches these Terms or applicable law;
  • false or misleading information provided when creating the account;
  • use of the service primarily for private or personal purposes.

In the event of suspension, features requiring an active Subscription may be restricted or disabled. The TWINT payment method or other plugin-related features may cease to be available on the Customer’s website.

Where reasonably possible, Pay4All will inform the Customer of the reason for the suspension and allow a period in which to remedy the situation.

A suspension resulting from fraud, a security threat or a risk to Pay4All’s systems may be applied immediately and without prior notice.

16. Availability and Maintenance

Pay4All endeavours to ensure the availability of the service, plugins, updates and Subscription verification interfaces.

However, Pay4All does not guarantee that the service will be continuously available, error-free or permanently accessible.

Temporary interruptions may occur due to maintenance, updates, corrections, security measures or events beyond Pay4All’s reasonable control.

Pay4All may modify, correct, replace or remove certain features in order to maintain the security, compatibility, compliance or overall quality of the service.

Where reasonably possible, planned maintenance likely to cause a significant interruption will be announced in advance.

17. Updates and Compatibility

The Customer must keep their WordPress installation, WooCommerce, Pay4All plugins and other components required for the service up to date.

Pay4All may limit support to versions of WordPress, WooCommerce, PHP and browsers that remain officially supported.

Pay4All cannot guarantee permanent compatibility with every theme, third-party extension, hosting provider or customised configuration.

An update to WordPress, WooCommerce, a theme, extension or third-party service may temporarily affect the operation of a Pay4All product.

The Customer must install security and compatibility updates made available by Pay4All within a reasonable period.

18. Technical Support

The terms and level of support depend on the plan purchased by the Customer.

Support mainly covers the installation, activation and normal operation of Pay4All products within a compatible environment.

Unless otherwise agreed, support does not include:

  • general management of the Customer’s WordPress website;
  • correction of errors caused by a third-party theme or extension;
  • development of customised features;
  • complete configuration of the Customer’s Stripe or TWINT accounts;
  • correction of problems relating to the Customer’s hosting environment or server;
  • restoration of a website or data deleted by the Customer.

Pay4All may request the technical information required to process a support request.

19. Customer Responsibilities

The Customer is responsible for installing, configuring, maintaining and using Pay4All products on their WordPress website.

The Customer is responsible, in particular, for:

  • their WordPress website and hosting environment;
  • the security of their website and access credentials;
  • performing regular backups;
  • the configuration of WordPress, WooCommerce and installed extensions;
  • their TWINT merchant account and Stripe account, where applicable;
  • the products and services offered to their own customers;
  • their tax, commercial and regulatory obligations;
  • ensuring that their business and website comply with applicable law;
  • the information and data processed using Pay4All products;
  • informing their own users and customers;
  • managing refunds and disputes relating to their own sales.

Before any installation, update or significant modification, the Customer must make a complete backup of their website and, where possible, test the changes in a staging or pre-production environment.

20. Third-Party Services

The operation of certain Pay4All products depends on services provided by third parties, including WordPress, WooCommerce, Stripe, TWINT, banks, hosting providers and internet service providers.

These third-party services are subject to their own terms, limitations, verification procedures and availability rules.

Pay4All does not control decisions made by these providers, including the refusal of a payment, suspension of an account, unavailability of an API, modification of a feature or amendment of their terms.

The Customer must directly enter into any necessary agreements with the relevant third-party providers and comply with their terms of use.

21. Limitation of Liability

Pay4All is liable for direct losses caused by a breach of its obligations within the limits permitted by applicable law.

Pay4All may not, in particular, be held liable for losses resulting from:

  • incorrect installation or configuration of the plugin;
  • changes to the code made by the Customer or a third party;
  • a hosting, server, network or internet connection issue;
  • an outdated version of WordPress, WooCommerce, PHP or an extension;
  • an incompatible third-party theme, extension or service;
  • an interruption or decision by Stripe, TWINT, a bank or another provider;
  • use of the service contrary to the instructions or these Terms;
  • loss, theft or compromise of the Customer’s login credentials;
  • failure to back up the Customer’s website or data;
  • an error, fraud or dispute between the Customer and their own users.

To the extent permitted by applicable law, Pay4All is not liable for indirect losses, loss of revenue, loss of business, loss of customers, loss of data, reputational damage or missed business opportunities.

To the extent permitted by applicable law, Pay4All’s total liability for direct losses is limited to the amount actually paid by the Customer for the relevant Subscription during the twelve months preceding the event giving rise to the loss.

No limitation or exclusion applies where prohibited by a mandatory statutory provision, including in cases of wilful misconduct or gross negligence.

22. Intellectual Property and Open-Source Licences

The trademarks, trade names, logos, interfaces, documentation, texts, graphic elements, online services and proprietary Pay4All content remain the property of Netoura Sàrl or their respective owners.

Software components distributed under an open-source licence, including the GNU General Public License, remain subject to the rights and obligations set out in the relevant licence.

Depending on the selected plan, the Pay4All Subscription provides access to hosted services, domain activations, automatic updates, support and features requiring an active Subscription.

The following are prohibited in particular:

  • unauthorised sharing or resale of an account or activation key;
  • circumvention of the Subscription or Licence verification system;
  • unauthorised access to Pay4All servers, APIs, databases or hosted services;
  • unauthorised use of Pay4All trademarks, logos and distinctive signs;
  • presenting a modified product as an official product or as approved by Pay4All.

23. Prohibited Uses

The Customer must not use Pay4All:

  • for illegal, fraudulent or misleading activities;
  • to infringe the rights of a third party;
  • to transmit malware or disrupt the service;
  • to circumvent technical or commercial service limitations;
  • to access systems, data or third-party accounts without authorisation;
  • to perform load or security testing without prior authorisation;
  • to misuse Pay4All APIs or technical resources;
  • to conceal or falsify their identity or the origin of a request.

24. Personal Data

The processing of personal data by Pay4All is described in the separate Privacy Policy available on the website.

The Customer remains responsible for the personal data they collect and process on their own WordPress website using Pay4All products.

The Customer must provide their own users with the required information concerning the processing of their data and obtain any consent required by applicable law.

Depending on the product and features used, additional data-processing terms may be provided to the Customer.

25. Amendments to the Terms

Pay4All may amend these Terms to reflect changes to the service, technology, commercial plans or legal and regulatory requirements.

Material changes will be communicated to the Customer before they take effect, by email, through the Customer account or directly on the website.

Where a change has a material adverse effect on an existing Subscription, the Customer may cancel the Subscription before the change takes effect.

New Terms do not have retroactive effect on periods that have already been invoiced, unless otherwise required by law.

The applicable version is the version accepted by the Customer at the time of purchase or a later version that has entered into force in accordance with this section.

26. Modification or Discontinuation of a Product

Pay4All may modify, replace or discontinue a product or Subscription plan, including for technical, commercial, security or compliance reasons.

Where a paid product is permanently discontinued before the end of an invoiced period, Pay4All will inform the Customer and determine an appropriate solution based on the circumstances.

Pay4All may, in particular, offer migration to an equivalent product, an extension of the service or a credit.

27. Account Deletion

The Customer may request the deletion of their account by contacting Pay4All.

Deleting the account may result in the loss of access to plugins, Licences, settings, invoices and other information associated with the account.

Before requesting deletion, the Customer must cancel any active Subscriptions and download any documents they wish to retain.

Account deletion does not entitle the Customer to a refund for periods already paid.

Certain information may be retained after account deletion where required to comply with a legal obligation, manage a dispute, maintain accounting records or prevent fraud.

28. Force Majeure

Pay4All may not be held liable for any delay, interruption or failure resulting from an event beyond its reasonable control.

Such events may include a general internet outage, cyberattack, failure of a hosting provider or third-party service, natural disaster, war, epidemic, decision by a public authority or interruption of electricity or telecommunications networks.

Pay4All will endeavour to restore the service within a reasonable period where technically possible.

29. Severability

If any provision of these Terms is declared void, invalid or unenforceable, the remaining provisions will remain in effect.

Where possible, the affected provision will be replaced by a valid provision producing an economic and legal effect as close as possible to the original purpose.

30. No Waiver

Pay4All’s failure to immediately exercise a right under these Terms does not constitute a waiver of that right.

Any waiver must be expressly made in writing.

31. Governing Law and Jurisdiction

These Terms and all contracts concluded with Pay4All are governed by Swiss law.

Any dispute relating to the interpretation, validity or performance of these Terms falls within the jurisdiction of the ordinary courts at the registered office of Netoura Sàrl, subject to any applicable mandatory statutory provisions.
